Slide 1: Speaker Biographies Michael J. Agoglia’s practice is concentrated in complex civil litigation, with an emphasis on consumer class actions. Mr. Agoglia had primary responsibility for Morrison & Foerster’s engagement as national coordinating counsel by the Mortgage Bankers Association of America in connection with over 250 class action suits against mortgage companies around the country. He also represents or has represented numerous mortgage bankers and other financial institutions in a wide range of cases, and before a wide range of tribunals and agencies. He has won dispositive motions and/or defeated class certification in dozens of cases for his clients at the trial court level. He has participated in and tried a variety of cases. He has also argued and won numerous appeals in the Ninth and Eleventh Circuits. Mr. Agoglia is frequently asked to speak on topics concerning financial services litigation. He was first associated with Morrison & Foerster in 1991, and since then has worked in the Litigation Department. In 1998, he became a partner of the firm. Patricia Antonelli is a partner of Partridge Snow & Hahn, LLP, a full-service business law firm with offices in Providence and Warwick, Rhode Island and New Bedford, Massachusetts. Ms. Antonelli is the Chair of the firm’s Mortgage Banking Consumer Finance Practice Group and a member of the Creditors’ Rights Practice Group. Ms. Antonelli advises both bank and non-bank financial institutions on all aspects of federal, Massachusetts and Rhode Island regulatory compliance consumer finance matters. She also represents loan servicers and mortgage holders in foreclosure, bankruptcy actions and receivership actions. Arthur Axelson is a Partner in the Financial Industry Group of Reed Smith LLP. He represents a broad range of financial institutions, brokers, lenders, investors and other service providers on consumer financial service and retail banking matters. His primary areas of practice include federal and state regulatory compliance with special emphasis on new product development, residential mortgage lending and e-commerce in the financial services industry. Arthur regularly represents and assists financial institutions in their efforts to comply with federal consumer credit protection statutes and related regulations and regulations of all 50 states and the District of Columbia governing loans to consumers and commercial entities. The representation involves new product design and implementation, and the preparation of documentation, disclosures and procedures for various types of mortgage products (including innovative e-commerce on-line lending programs and reverse mortgage products), as well as open- and closed-end secured and unsecured credit programs. Moreover, Arthur advises clients regarding other retail banking issues, specific loan transaction problems, mortgage fraud concerns, and alleged violations of applicable law and regulations. He assists clients in defending existing loan programs against challenges by private litigants or enforcement actions by state and federal regulators. In addition, he conducts compliance audits involving detailed reviews of the forms and procedures used by lenders to assure compliance with applicable federal and state requirements, including due diligence compliance audits in connection with mergers and acquisitions. Arthur also handles a variety of secondary market concerns, including those affecting mortgage loan origination and servicing operations, mortgage wholesale and correspondent arrangements, and the purchase and sale of mortgages and mortgage servicing and subservicing rights. His representation involves the development of model forms and procedures, advice concerning complex, unusual or troublesome issues, and in-depth surveys, analysis, and reporting on aspects of state law and regulation affecting large-scale, nationwide mortgage loan originators, purchasers, servicers and subservicers. Michael A. Benoit is a partner in the Washington DC office of Hudson Cook, LLP. He provides compliance counsel to banks, sales finance companies, mortgage lenders and other creditors and technology providers on the range of federal and state consumer financial services law and regulation, including electronic commerce, online lending, privacy, fair lending, advertising, telemarketing, and personal and real property financing. Michael was recently elected a Fellow of the American College of Consumer Financial Services Lawyers, “a professional association of lawyers particularly skilled and experienced in handling consumer financial services matters and dedicated to the improvement and enhancement of the skill and practice of consumer financial services law and the ethics of the profession.” Amy Brachio is a Partner with Ernst & Young’s Quantitative Economics and Statistics practice where she specializes in assisting financial institutions in assessing and mitigating regulatory compliance risk. Amy brings 12 years of experience as an advisor in the mortgage and consumer lending industry. Amy has regularly assists financial institutions in assessing compliance programs, developing testing protocols, conducting testing and preparing for regulatory examination. Topics covered include fair lending testing, performance under the Community Reinvestment Act (CRA), compliance with the Home Mortgage Disclosure Act (HMDA) and management of technology programs designed to address regulatory concerns. Amy is currently helping large mortgage loan servicers to evaluate fair lending and compliance governance in loan servicing. She has evaluated compliance programs and has developed statistical analysis tools to measure consistency in the loss mitigation process. Amy has authored several articles for the American Banker, Origination News, and the Commercial Lending Review and has been a speaker at Consumer Bankers Association, Mortgage Bankers Association, American Bankers Association and American Bar Association conferences on compliance topics. Denise Peters Brennan received her J.D. degree from the University of Detroit Law School in 1983 and was admitted to the State Bar of Michigan and in United State District Court (Western Division) in 1983. She is also admitted to practice in the State of Minnesota and Iowa. She is a member of the Mortgage Bankers Association of America and the American Bar Association. Following several years of private practice as a criminal defense attorney, Ms. Brennan moved to Detroit, MI and began a career in real estate lending. Ms. Brennan worked for Regency Savings and Loan providing legal and regulatory compliance support as well as running the payoff/lien release department. Later, Ms. Brennan worked for Comerica Bank as primary legal support for the mortgage division. Ms. Brennan also worked for Briggs and Morgan of Minneapolis, MN providing class action defense to a variety of mortgage lenders. Ms. Brennan joined Wells Fargo Home Mortgage, Inc. in October 1995. Ms. Brennan’s responsibilities have been litigation management and the provision of legal services for the legal and regulatory support of the production servicing business units. Since 2003, Ms. Brennan’s primary responsibilities have been litigation management, including 30 plus class actions and fraud investigations. Wells Fargo Home Mortgage is a division of Wells Fargo Bank, N.A. It is also one of the nation’s largest retail mortgage originator with over 700 locations in 50 states. Wells Fargo Home Mortgage is also one of the largest servicer with over 7.7 million loans. James Brodsky is a founding member of Weiner Brodsky Sidman Kider PC. He concentrates on residential mortgage finance legal and business issues. Strategic business initiatives and arrangements, federal compliance and regulatory matters, asset purchases and sales, mergers and acquisitions, and secondary mortgage market transactions are a focus of Jim’s practice. He is a graduate of the Georgetown University Law Center and of Columbia and Cornell Universities. Melanie Brody is a partner in the Washington, DC office of K&L Gates. She concentrates on federal and state enforcement and regulatory compliance matters, primarily for financial services providers. Melanie defends clients in investigations by the United States Department of Justice, Federal Trade Commission, Department of Housing and Urban Development and state attorneys general. She also handles matters involving federal and state banking, mortgage banking and consumer finance regulators. Buckley is a partner of BuckleySandler LLP, a law firm focused on serving the legal needs of the Nation’s financial services industry. His firm has one of the largest and most experienced groups of financial services attorneys in the country serving clients including banks, mortgage companies, credit card issuers, insurance companies, broker dealers, investment banks and private equity investors. Mr. Buckley assists clients with strategic counsel and advice on business formations and acquisitions, risk management, and enforcement matters involving federal and state regulators, including matters before bank regulatory agencies, the FTC, HUD and State attorneys general. In addition, he acts as counsel for a number of national financial services trade associations and files amicus curiae briefs in cases before the U.S. Supreme Court and appellate courts on behalf of the financial services industry. Mr. Buckley has chaired the Subcommittee on RESPA of the American Bar Association Consumer Financial Services Committee and is co-author of Introduction to Mortgage Lending (ABA, 2006), The Law of Electronic Signatures and Records GlasserLegalWorks, 2004) Prior to entering private practice, Mr. Buckley served as Republican Staff Director of the U.S. Senate Banking Committee. He received his J.D. from the University of Virginia Law School in 1969 and his A.B. from Fairfield University in 1966. Meg Burns is Director of the Office of Single Family Program Development for the Federal Housing Administration (FHA). In this position, she is responsible for all policies related to single family loan production, from borrower qualifications to property standards. Ms. Burns has played a critical role in retooling FHA, aligning the agency’s appraisal practices with those of the conventional market, streamlining the agency’s insuring procedures, and improving overall communications with the industry. Of particular note, Meg was instrumental in the development of the FHA Modernization bill, a legislative effort designed to extend the reach of the FHA programs to more families in need of affordable home financing. Ms. Burns is perhaps best known for her proactive role in managing FHA’s reverse mortgage program. She has served as a tireless spokesperson, representing the FHA at national and local events, testifying before Congress, and providing information to a broad array of media outlets. Before joining FHA, Ms. Burns worked in a variety of other program offices within the Department, overseeing HUD’s housing counseling program, providing policy analysis on homeownership and rental housing programs, and preparing numerous written documents, from reports to program guidance. Meg worked in several offices, including the Minnesota State Office, the Office of Policy Development and Research, and the Office of Government Sponsored Enterprise Oversight. Ms. Burns holds a B.A. in Philosophy from Connecticut College and an M.A. in Philosophy and Public Policy from the George Washington University.
Slide 5: Heather Czermak, Senior Product Manager with Wolters Kluwer Financial Services/VMP/PCi, is responsible for overseeing the strategic direction, development, implementation and support of PCi’s automated compliance solutions. During the past ten years, she has specialized in identity theft and fraud prevention, predatory lending issues, fair lending, and the need for regulatory compliance automation working with banks, credit unions and mortgage companies. Ms. Czermak is an invited speaker at industry events as well as the author of several articles for such publications as Mortgage Banking, Secondary Marketing Executive Magazine, ICBA Network New, National Mortgage News, and Credit Union Times. Prior to joining PCi, she received her undergraduate degree from Bryant University in Business Administration and her MBA from the University of Massachusetts. Joshua J. Denney, AMP is Associate Vice President of Public Policy at the Mortgage Bankers Association (MBA). He manages a team of 10 professionals charged with following all residential mortgage public policy issues, developing the Association’s positions on those issues and representing the interests of the MBA’s member companies before federal agencies and executive branch officials. He also staffs MBA’s Residential Board of Governors (RESBOG). Denney previously served as the Association’s primary liaison with Republican members of the U.S. Senate. Prior to joining MBA in 2004, Denney was Staff Director of the U.S. Senate Banking Committee’s Subcommittee on International Trade and Finance and Legislative Assistant to U.S. Senator Chuck Hagel (R-Neb.). He advised the Senator on financial, economic and commerce issues, including banking, housing, transportation, taxes, the federal budget and the postal service. In his time with the Senator, he also covered issues pertaining to agriculture, Native Americans, law enforcement, health care and telecommunications. Denney served as the Senator’s chief spokesperson with the national news media in 2002. Prior to his service in the Senate, Denney managed public affairs campaigns for a variety of government, corporate and nonprofit clients at Powell Tate/Weber Shandwick in Washington. Denney holds a master’s degree in political management from The George Washington University. He holds a bachelor’s degree in political science and a bachelor’s degree in corporate communication and public affairs from Southern Methodist University. Denney earned his Accredited Mortgage Professional (AMP) designation in 2007. Denney lives in Potomac, Md. with his wife, Deborah, and their two children. Rachel Dollar is a California attorney and recognized expert in the mortgage lending industry. She is the editor of the acclaimed public service industry website Mortgage Fraud Blog (www.mortgagefraudblog.com) which is committed to raising awareness of the growing problems associated with Mortgage Fraud. Ms. Dollar represents lenders and secondary market investors nationwide in mortgage fraud litigation and consults with mortgage lenders on policy and procedure, lending documentation and direction of quality control practices. She is a partner in the law firm of Smith Dollar PC where she chairs the firm's Mortgage Banking Group. Ms. Dollar has developed a reputation as one of the foremost innovators and thought leaders in the real estate finance industry and has been widely quoted in the Wall Street Journal, USA Today, the Los Angeles Times and other publications. She was recognized in 2005, 2006 and 2007 by Inman News as one of the 100 Most Influential Real Estate Leaders. She is a nationally recognized speaker on the topics of mortgage banking and mortgage fraud and has appeared on CNN, CBS News and other radio and television programs. She is the editor of the acclaimed public industry website, Mortgage Fraud Blog, recognized in 2007 as Most Innovative Real Estate Blog. Ms. Dollar is an author of Protect Yourself from Real Estate and Mortgage Fraud the first full scope mortgage fraud book released by a major publisher (Kaplan Publishing, August 2007.) Michael Fratantoni rejoined the Mortgage Bankers Association assuming the newly created position of Vice President for Single-family Research and Policy Development. In this role, he is responsible for

Previously, Fratantoni had served as senior director for single-family research and economics at MBA. Fratantoni returns after working as Economic Strategist within Washington Mutual’s Enterprise Risk Management group. Prior to his first stint at MBA, Fratantoni worked as a senior economist in credit risk management and policy roles at Fannie Mae. In addition to his business and public policy experience, Fratantoni has taught in an adjunct capacity at the University of Washington, Johns Hopkins, George Washington, and Georgetown universities, and has published academic research in economics and real estate finance. Martin Frenkel is a shareholder of Maddin Hauser P.C. located in suburban Detroit. He received his BA from the University of Michigan with High Distinction in 1991 and his JD from Wayne State University Law School in 1994. He is admitted to practice law in the Michigan state courts and in the Federal District Courts for the Eastern and Western Districts of Michigan. Mr. Frenkel was formerly employed by the Michigan Department of Attorney General. Since joining the firm in 1997, he has focused his practice in the areas of mortgage and real estate litigation. Mr. Frenkel is a member of the Real Property Section of the State Bar of Michigan and is also an affiliate member of the Associated General Contractors of America. He authored the article "Navigating the Waters of Real Estate Arbitration" published in Commercial, Inc. magazine, discussing the dynamics of the real estate arbitration process. He also authored the article "Seven Common Mistakes in Selecting/Managing Outside Counsel in the Mortgage Industry" which was published as a three part series in the MBA News Link. Mr. Frenkel is currently working to co-author a new blog entitled michiganlenderlaw.com centering on discussion of mortgage defense litigation topics from a lender perspective. He is one of the firm's representatives to the Mortgage Bankers Association, and a member of the MBA Litigation Subcommittee. Mr. Frenkel was also selected by his peers as one of Michigan's Rising Stars and was identified as such in the Michigan Super Lawyers and Rising Star Magazine. Suzanne F. Garwood focuses her practice on state and federal law relating to consumer credit and financial services. Ms. Garwood has a strong background in the area of consumer credit, and in particular with issues related to mortgage lending. She has assisted participants in the primary and secondary mortgage markets with issues arising under the Truth in Lending Act,fair lending laws, and other consumer credit regulations. Ms. Garwood also lobbies on behalf of clients before the House Financial Services Committee and Senate Committee on Banking, Housing and Urban Affairs as well as all of the federal banking agencies. In addition to her consumer credit background, Ms. Garwood is experienced in issues related to credit unions. Prior to entering private practice, Ms. Garwood worked for the National Association of Federal Credit Unions as the primary liaison to the National Credit Union Administration and other federal banking agencies and industry participants. While at NAFCU, Ms. Garwood presented and championed credit union issues before the ABA at annual and spring meetings, NAFCU's membership, credit union CEOs and other industry participants. Richard Gottlieb is a senior partner in the Chicago office of Dykema, a law firm with offices in California, D.C., Illinois, Michigan and Texas. Richard leads Dykema's national Consumer Financial Services practice and is likewise a member of the firm's senior management team. He represents banks, mortgage lenders and other financial services entities in the defense of both individual and putative class action suits alleging false or deceptive practices and statutory consumer lending violations. Among his current representations, Richard is defending multiple lenders in public nuisance litigation brought by municipalities throughout the nation, putative class actions by minority borrowers alleging disparate impact under federal fair housing and credit discrimination statutes, and multiple other putative class actions based on violations of such statutes as the Truth in Lending Act and Fair Credit Reporting Act. He is a frequent author and lecturer on financial services, class actions, insurance and trial practice matters, and has been interviewed on programs such as NBC Nightly News with Brian Williams and

Richard is an active member of various bar and trade associations, including the Mortgage Bankers Association, and is both a member of the Board of Directors and Chair of the legislative committee of the Illinois Mortgage Bankers Association. Paul F. Hancock focuses his practice on litigation as it relates to the financial services industry, namely mortgage banking and consumer credit. He also handles matters involving commercial litigation, civil rights and general civil litigation, particularly class actions. Before entering private practice Mr. Hancock served as the Deputy Attorney General for South Florida, managing the Attorney General's legal programs in the southern portion of the state, and personally litigating cases of major significance statewide. He also spent more than 20 years with the Civil Rights Division of the U.S. Department of Justice (DOJ), attaining the highest-ranking career position in the Division. He is experienced in all areas of civil rights litigation, and is best known for his work in the fields of voting, housing, disability rights, insurance, and lending and credit. David S. Hay is a Senior Vice President and Secretary for SunTrust Mortgage, Inc., where he serves as the Managing Attorney, and lives in Richmond, Virginia. Prior to joining SunTrust in 2007 David was Senior Counsel for JPMorgan Chase Bank, N.A., where he provided legal services to the Servicing Division of Chase Home Finance LLC in Columbus, Ohio. During his seven years within the heritage Bank One organization David held several positions including serving as the Retail Practice Group Manager and prior to that was the Regional General Counsel for Banc One Corporation. Prior to coming to Bank One David was in private practice with Briggs and Morgan, Professional Association, in Minneapolis where he was a shareholder in the firm’s Mortgage Banking Practice Group. David started his financial services practice as General Counsel for Chemical Mortgage Company in 1986 where he served for 10 years. David graduated cum laude from The Ohio State University College of Law, and he earned his undergraduate degree from Duke University – A.B., Accounting and History. David is admitted to practice law in Virginia, Ohio and Florida. He is past Chairman of the Legal Issues Committee of the Mortgage Bankers Association of America. Thomas Hefferon is a partner in Goodwin Procter’s Litigation Department, resident in the Washington, D.C. office. He specializes in the defense of financial institutions in the consumer services industry in cases that typically arise under the Truth in Lending Act (TILA), the Real Estate Settlement Procedures Act (RESPA), the Fair Credit Reporting Act (FCRA), the Equal Credit Operating Act (ECOA), the Fair Housing Act (FHA), the Fair Debt Collection Practices Act (FDCPA), state and federal unfair and deceptive acts and practices laws (UDAP), other consumer lending statutes and regulations, bankruptcy laws and the common law. In the last five years, these have included more than 150 putative class actions, most of which were brought as nationwide class actions and were filed in state and federal courts across the country, and a similar number of lawsuits commenced by individuals or groups of individuals. Mr. Hefferon is chair of the firm’s Consumer Financial Services Litigation Practice Group, which includes more than two dozen attorneys wholly or predominantly devoted to the defense of these types of matters. Mr. Hefferon also represents a number of financial institutions and trade groups in contested matters before federal and state administrative agencies, including the Federal Trade Commission, the federal Department of Housing and Urban Development, and state civil rights, consumer protection, and licensing authorities. Mr. Hefferon also frequently appears as amicus curiae counsel in cases involving the consumer credit industry. He is admitted in District of Columbia, Massachusetts, and Virginia, and in a number of federal courts, and has appeared as pro hac vice counsel in most states.
Slide 8: Sunny S. Huo is a member of Severson & Werson who specializes in representing mortgage lenders and defending class actions and unfair business practices suits. In recent years, he has defended numerous cases involving RESPA, TILA, FCRA, and California’s unfair business practices statute. Mr. Huo graduated cum lade from U.C.L.A. and also obtained his Juris Doctorate degree there. His firm, Severson & Werson, has more than 60 years of experience representing a wide variety of financial service providers and counts among its clients the most prestigious lending institutions. Mr. Huo was the Chair of the California Mortgage Bankers Association’s Residential Legal Services Committee in 2006 and 2007, and has spoken at its Legal Issues Conference. He also maintains the REGListServ website—an informal network of over 700 industry professionals. Lois Jacobs is a Partner in the Los Angeles area litigation boutique firm Kralik & Jacobs LLP, where she handles mortgage banking, consumer finance and commercial lending litigation as well as intellectual property, real estate and other business litigation matters. Jack Konyk is Senior Vice President at National City. Jack has over thirty five years experience in the financial services industry. He is a partner in the law firm of Levy & Watkinson PC, with offices in Woodbridge and Trenton, NJ. Mr. Levy was Deputy Commissioner for the State of New Jersey, Department of Banking and was a State Deputy Attorney General, in which capacity he served as counsel to the Department of Banking and Insurance. He was also one of the drafters of the Consumer Equity Protection Act in Pennsylvania. Mr. Levy was a member of the Pennsylvania Banking Department’s Statewide Foreclosure Study Committee that met with then Secretary of Banking William Schenck and other representatives of the Department of Banking to study the potential impact of abusive lending practices on foreclosures and to recommend regulation and legislation deemed appropriate. Joseph T. Lynyak, III focuses his practice on the regulation and operation of financial service intermediaries. Joe’s practice includes the representation of foreign and domestic banks, savings associations, holding companies, mortgage banking companies and their subsidiaries and affiliates. He provides financial intermediaries advice in the areas of strategic planning, application and licensing, legislative strategy, commercial and consumer lending, examination, supervision and enforcement and general corporate matters. Slide 11: Rose C. Mancini is group general counsel with responsibilities for HSBC –North America’s Consumer and Mortgage Lending business. She has held this position since December 2006. She is based in Mettawa, Illinois. Rose joined HSBC’s Household International’s business in September 1985 as associate general counsel for Household’s commercial real estate group. She was appointed general counsel for the retail services group in April 1991, then assumed the same role for HFC in 1993. In 1995, Rose was appointed general counsel and corporate secretary of Household’s auto finance operation, also serving in the same capacity for Household Bank, fsb, from July 1996 to October 1997. She became group general counsel in February 2004, with responsibility for HSBC – North America’s auto, mortgage services, insurance and taxpayer financial services law departments. Prior to joining HSBC, Rose was an attorney in the commercial real estate department of the Prudential Insurance Company of America in Chicago, Illinois. She received a Bachelor of Science degree in Psychology from the University of Illinois-Champaign/Urbana, and earned her Doctor of Law degree from the Illinois Institute of Technology-Chicago Kent College of Law in 1980. Rose participates with various trade associations, including American Financial Services Association, Consumer Mortgage Coalition and Mortgage Bankers Association. Ken Markison is Associate Vice President and Regulatory Counsel at the Mortgage Bankers Association where he works on a wide range of mortgage lending issues including matters under the Real Estate Settlement Procedures Act (RESPA), the Federal Housing Enterprises Financial Safety and Soundness Act (FHEFSSA), the Home Mortgage Disclosure Act (HMDA), the Fair Labor Standards Act (FLSA) as well as fair lending, anti-predatory lending and mortgage technology related laws. He joined the MBA in July 2004 following a thirty-two year career in the Office of General Counsel in the U.S. Department of Housing and Urban Development. At the time of his retirement, he served as HUD’s Assistant General Counsel for Government Sponsored Enterprises/RESPA where he was a key figure in HUD’s regulatory activities in those areas. He was one of the principal architects of HUD’s 2002 proposed RESPA Reform Rule and HUD’s recent Fannie Mae and Freddie Mac housing goals rule. Earlier, he was instrumental in developing the current Fannie Mae-Freddie Mac regulatory regime, the HUD-Federal Reserve Report on Reform of TILA and RESPA as well as the HUD-Treasury Report on Curbing Predatory Lending. He also represented HUD on the staff of the Oversight Board for the Resolution Trust Corporation. At HUD, he received the Department’s highest honors. Ken received his BA and his JD, with honors, from the George Washington University and is admitted to practice law in Maryland and the District of Columbia. Peter Microulis is Vice President of Quality Assurance at Advanced Financial Services, Inc., a retail mortgage lender located in Newport, RI and actively lending in more than 40 states. A graduate of Rhode Island College, Mr. Microulis has been involved with Campus MBA's Education Task Force, is a contributor to the MBA's Regulatory Compliance Committee, and participates regularly in various Compliance Conferences. He lives in North Providence, RI with his wife, two children and Harry, the dog. Stephen Morrison is now semi-retired after 27 years at Wells Fargo Home Mortgage, a division of Wells Fargo Bank, N. A., one of the nation's leading originators and servicers of residential mortgages. His last position was with Government and Industry Relations. Morrison joined Wells Fargo Home Mortgage (Banco, then Norwest) in 1981 as associate general counsel. From April 1985 until March 1998, Morrison was Senior Vice President, Secretary and General Counsel. Morrison served on the Mortgage Bankers Association of America Federal Legislative, State Legislative and Regulatory (Chairman 2001-2003), Regulatory Compliance (Chairman 1991-1993, Chairman 2006), Quality Control, Financial Institutions (Chairman 1997-1999), and Legal Issues Committees (Vice Chairman 1997, Chairman 1998, Vice Chairman 2007, Chairman 2008-2009). Jeff Naimon is a partner of Buckley Sandler LLP. Mr. Naimon focuses his practice on regulatory, litigation/enforcement, transactional and legislative advice to a variety of financial services providers, including banks, mortgage and consumer finance lenders and servicers, and insurers, and investors in both financial services companies and the assets that they generate. Deb Oakley has been in mortgage banking for more than 25 years. In December, she retired from National City Mortgage, after servicing 15 years as Senior Vice President for Default Operations and three years as SVP for Homeownership Preservation. Other mortgage-related employers include TransOhio Savings Bank, where she was VP of Debt Recovery and Sears Mortgage where she first managed the REO Department, and upon completion of her law degree, worked as a Senior Attorney assigned to servicing matters. Deb also sold real estate in the Chicago area for Coldwell Banker and worked as a Grant Manager for the Illinois Office of Mass Transportation. She currently works as a consultant for Stewart Lender Services, advising on strategic initiatives and business development. Deb is active in the MBA, having served as Co-Chair of the MBA Loan Administration Committee and for several years as Chair of the Default subcommittee. She chairs the Capacity Committee of the Homeowner Preservation Foundation and is active in the HopeNow Alliance. She is a 2007 recipient of the Five Star Lifetime Achievement Award, has published articles on loss mitigation subjects, and is a frequent speaker at conferences and seminars. Deb holds a law degree from Loyola University of Chicago, a Master’s in Political Science from the University of Illinois, and a BA in Political Science from the University of Wisconsin. Michael Brady O’Connor is a shareholder in the firm of Slaten & O’Connor, P.C., and heads the firm’s financial services practice area which includes representation of banks, mortgage companies, savings and loans, finance companies, insurance companies and various other institutional lenders. She is also an active participant in the eMortgage Workgroup of the Mortgage Industry Standards Maintenance Organization (MISMO) and serves as co-chair of MISMO’s eMortgage Legal Issues subgroup. She is admitted to practice law in California, Oregon and Washington. Melanie L. Reid, as a Senior Vice President for SunTrust Mortgage, is responsible for State Compliance for the Default Division. Melanie works on a wide range of things including but not limited to the HMP portion of the HASP program. Compliance related to new regulation at the state level that directly impacts Default practices. Prior to the working for the Default team Melanie was responsible for Consumer Direct, Compliance Projects, and Bond Housing Operations. Melanie was responsible for having projects completed that directly impacted the Compliance issues related to production. Closing Loans for 20 different bond housing agencies and 1 billion in closed production for the Consumer Direction Operations unit. Melanie has been with SunTrust Mortgage for 8+ years and has progressed from conventional PostClosing Manager to her current role. Prior to working for SunTrust Melanie did 2 years with Honeywell International as a Project Auditor. Prior to that Melanie was with Central Fidelity for 12 years in Retail and Commercial Operations. She earned her CMB (Certified Mortgage Banker) designation from the Mortgage Bankers Association of America in June 2006. She is frequently called up on in SunTrust to train and teach individuals within the Mortgage Line of Business. Loretta Salzano founded Franzén and Salzano in 1996 and manages the firm’s state and federal compliance practice. Loretta Salzano recently launched ComplyShare, a mortgage quality control and compliance company. Loretta spends a great deal of her time advising mortgage lenders, brokers and other settlement service providers on how to increase their business while remaining within the confines of the Real Estate Settlement Procedures Act, other state and federal laws and rules of professional conduct. Loretta advises mortgage lenders, brokers, banks and other financial institutions and settlement service providers regarding licensure, fees, disclosures, reporting, advertising, marketing, fair lending and other matters related to their products and services. She drafts and negotiates contracts, including but not limited to loan purchase and sale agreements, warehouse line agreements and servicing agreements. Loretta also assists clients in responding to regulatory examinations and actions. Loretta is a frequent speaker on mortgage lending and related issues. Loretta serves as Legal Counsel to the Mortgage Bankers Association of Georgia and on the Mortgage Bankers Association of America’s Regulatory Compliance and Legal Issues Committee and its State Legislative and Regulatory Committee. She has served as the President of the Atlanta Mortgage Bankers Association and a Governor of the Mortgage Bankers Association of Georgia. Loretta is active in many other industry and professional associations and serves as Chair and Legal Counsel to Rainbow Village, a transitional housing shelter and she is Martindale-Hubbell’s Financial Law Panelist for Ask a Lawyer, and her firm serves as the Georgia editor to Houselaw. Before founding Franzén and Salzano in 1996, Loretta acted as Corporate Counsel to Fleet Finance and Georgia Federal Bank, and she was also in private practice. This includes banking, transaction management, correspondent warehouse lending, credit policy/Seller Guides, due diligence, data management, servicer relationships and other compliance related activities affecting Morgan Stanley’s origination, purchase and sale of U.S. residential mortgage loans. Prior to joining Morgan Stanley in 2004, Mr. Samlin was a Managing Director at Bear Stearns and EVP and General Counsel of its mortgage banking and servicing subsidiary, EMC Mortgage Corp., in Irving, Texas from 2000-2004. Andrew L. Sandler, co-chair of BuckleySandler LLP, is a recognized leader in financial services enforcement and litigation. Faith Schwartz is the Executive Director of the HOPE NOW Alliance, a coalition of nationwide servicers/lenders, investors, counselors and other mortgage market participants. The purpose of HOPE NOW is to bring the industry together to create a united, coordinated plan to reach and help as many homeowners as possible. HOPE NOW was announced in October, 07 by the Treasury Secretary Paulson and HUD Secretary Jackson as a public private effort to being the industry together. The industry has helped in excess of two million borrowers avoid foreclosure through outreach strategies and partnering efforts. Prior to joining HOPE NOW, Schwartz served as senior vice president of public affairs at Option One Mortgage Corporation, a subsidiary of H&R Block Inc. Schwartz’s leadership contributions to the mortgage industry also include serving as current President elect of Women in Housing and Finance (WHF), to be President 2009-10. She has served on the board of governors of the regional and national Mortgage Bankers Association (MBA). In January 2006, she was named to a three-year term on the Federal Reserve Board’s Consumer Advisory Council, a group that advises the Board on the exercise of its responsibilities under the Consumer Credit Protection Act and on other matters relating to consumer financial services. She is the chair of the Consumer Credit sub-committee of the Consumer Advisory Council. She also served on the board of directors of the Asian Real Estate Association of America from 2006 to 2007. Randy Shields is an Associate General Counsel at Bank of America. Randy leads a team of attorneys and paralegals who support the bank's home equity and reverse mortgage business channel, special assets group and mortgage fraud. Previously, he supported a wide range of consumer lending and insurance businesses, including mortgage loan production and servicing, sales and fulfillment operations, fair lending, community lending, consumer, commercial insurance and debt cancellation operations, credit card operations, collections and default, and customer service and support. Prior to joining the bank in 2001, Randy served as the General Counsel at Fleet Mortgage, whose parent, FleetBoston, has merged with Bank of America. While with Fleet, the mortgage company's legal department was responsible for all mortgage banking, corporate and litigation support for one of the nation's largest mortgage lending and servicing operations. Randy participated on FleetBoston's public policy committee and assisted in the development of Fleet's privacy policy. While at Fleet, he also served as the Chair of the Mortgage Bankers Association Legal Issues Committee as well as the Regulatory Compliance Committee. Randy began his legal career at the US Department of Commerce in Washington DC, and was an associate and partner at the Washington D.C. law firm of Weiner, Brodsky, Sidman & Kider. He grew up in Akron, Ohio, where he graduated cum laude from the University of Akron School of Law, and served as the Case and Comment Editor of the school's Law Review.
Slide 18: Andrew M. Smith is a Partner at Morrison & Foerster in Washington, DC. Mr. Smith advises lenders, insurers and other financial services clients on financial privacy issues; consumer financial services issues; and state and federal laws prohibiting unfair and deceptive trade practices. Prior to joining Morrison & Foerster, Mr. Smith was at the Federal Trade Commission, where he directed numerous rulemaking proceedings governing, among other things, the obligations of businesses with respect to identity theft victims, the use of prescreened solicitations, the proper disposal of consumer information, and the sharing of information among affiliated companies. Before his stint at the FTC, Mr. Smith was in private practice in Washington, DC, counseling businesses on consumer financial services issues and representing clients before federal regulatory agencies and in the federal courts. Mr. Smith has also served as a staff attorney and Acting Assistant General Counsel at the Securities and Exchange Commission. Thomas E. Spahn practices as a commercial litigator with McGuireWoods in its Northern Virginia office. Tom regularly advises a number of Fortune 500 companies on issues involving ethics, conflicts of interest, the attorney-client privilege and corporate investigations. Tom has written books on the attorney-client privilege, ethics and defamation, several book chapters, and over 60 articles in Virginia and national publications. Wolf is the President and Managing Attorney of The Wolf Firm, A Law Corporation, a mortgage banking law firm located in Irvine, California. Mr. Wolf was the lead attorney in the landmark bankruptcy cramdown case of Enewally v. Wash. Mut. Bank (In re Enewally), 368 F.3d 1165 (9th Cir. Cal. 2004). He has served as the Chair of the California Mortgage Bankers Association Legal Services Committee (19941995) and Co-Chair (1995-1996), helped found the U.S. Foreclosure Network (USFN) and served as a member of the USFN Board of Directors (1990-1996).
